Draft — to be confirmed by the client’s legal adviser before public launch

This page is a working draft written from the agreed business rules. It has not been reviewed by a lawyer, and it must be before the store goes live. Selling this category of product into Australia carries obligations under the Therapeutic Goods Act that a template cannot cover.

The clauses marked below need the client’s own decision or their lawyer’s wording.

These terms apply to every order placed on this store. They are written to be read, not to be impenetrable — if anything here is unclear, ask before you order.

Trading entity: trading name and ABN to be supplied

About these terms

These terms apply to every order placed on this website and to every use of it. By browsing the site or placing an order you agree to them, together with our research use only disclaimer, refund policy and privacy policy, which form part of these terms.

You must be at least 21 years of age and have the legal capacity to enter a contract to order from us. We may update these terms from time to time; the version published on the site when you place an order is the one that applies to that order.

Research use only

Everything sold by EVOLVD is supplied strictly for laboratory and in-vitro research. It is not for human or veterinary use, not for clinical application, and not for diagnostic procedures. It is not intended to diagnose, treat, cure or prevent any disease.

By placing an order you confirm that you are purchasing on that basis, that you are a qualified researcher or are buying on behalf of a laboratory, institution or business engaged in research, and that you will use the materials accordingly. Our full disclaimer sets this out in detail.

We do not advise on use

We do not provide guidance on reconstitution, handling, dosing, protocols or the application of any material to your work, and we do not describe effects or outcomes. Requests for that kind of guidance will not be answered. Nothing on this site or in any message from us is medical, health or usage advice.

Product information

We take reasonable care to describe our products accurately, including their name, size and the purity figure from independent testing. Product images are representative; the appearance of an item or its packaging may differ from what is shown.

If a listing contains an error — in a description, a specification or a price — we may correct it at any time. Where an error affects an order that has not yet been accepted, we will tell you and give you the choice of continuing at the corrected details or cancelling for a full refund of anything paid.

Placing an order, and when it is accepted

Submitting an order is an offer to buy. It is not accepted until we have received your payment in full and dispatched the goods. Until then no contract of sale exists, and we may decline or cancel an order for any reason.

Reasons we may decline an order include, without limitation: an item being unavailable; an error in a listed price or description; payment not being received or not being able to be matched to the order; the information supplied being inaccurate or incomplete; a reasonable suspicion of fraud; and anything in the order or in correspondence that suggests the products are intended for a person or an animal, or for any purpose other than laboratory research. Where we decline an order and payment has already cleared, it is returned in full.

You are responsible for the accuracy of the details you give at checkout, including your name, email address, phone number and delivery address.

Prices and payment

Prices are shown in Australian dollars and include GST where it applies to that product. The total you will pay, including shipping, is shown at checkout before you place the order.

Payment is by bank transfer only. There is no card or cryptocurrency payment on this store, and we will never ask for your card or banking details. When you place an order you are shown, and emailed, the account details to pay and a payment reference unique to your order. Include that reference with your transfer so the payment can be matched. Your order is prepared once the transfer clears.

Stock is set aside for your order when it is placed, and the order is held while we wait for your transfer.

To be settled — how long an unpaid order is held before it is cancelled and its stock returned to sale. This needs a number of days from the client. Until it is set, unpaid orders are cancelled by hand from the admin.

Stock

Stock is checked at the moment your order is placed, and an order for something that has just sold out is refused rather than accepted and back-ordered. A bundle is available only while every item in it is in stock.

Shipping and delivery

We ship within Australia only, to Australian addresses. Shipping is a flat $15 on every order, sent express with Australia Post. Orders are dispatched within 24 hours of payment clearing, and you are emailed a tracking number.

Delivery times are estimates provided by the carrier and are outside our control. We are not responsible for delays once a parcel has been handed to the carrier, though we will help you follow it up.

Please check your delivery address carefully at checkout. If a parcel is returned to us or lost because the address you gave was wrong or incomplete, we may charge the cost of sending it again, and we are not responsible for a parcel delivered to an incorrect address you supplied. If you are not home to accept delivery, the carrier will follow its own process for a card or collection.

Handling and storage after delivery

Once a parcel has been delivered, the products are in your care. You are responsible for inspecting them on arrival, for storing them under conditions appropriate to research materials, and for handling, using and disposing of them safely and in accordance with every law that applies to you.

To the extent the law allows, we are not responsible for any deterioration, loss or damage that results from how a product is stored, handled, opened, mixed or reconstituted after it has been delivered.

Returns and reconstituted vials

Our refund policy sets out when a product can be returned and how a refund is paid. In short: a product can only be returned for change of mind if it is unopened, unmixed and in its original packaging, and only if we have agreed to the return in advance.

A vial that has been opened, mixed, reconstituted or otherwise altered cannot be returned or refunded for change of mind, because its condition can no longer be verified. This does not limit your rights where a product is faulty or not what you ordered.

Incorrect or damaged orders

If an order arrives damaged, or is not what you ordered, contact us promptly with your order number and photographs of the item and its packaging. Keep the item, its packaging and the outer parcel until the matter is resolved, and do not open a damaged or incorrect item while it is being reviewed. We will replace the item or refund it, including the shipping you paid.

To be settled — how many days a customer has to report a damaged or incorrect item. The design said 48 hours; that figure was invented for the design and is not the client’s.

Cancelling an order

If you want to cancel, contact us as soon as you can, quoting your order number. An order that has not yet been dispatched can be cancelled; where payment has already cleared, it is returned in full to the account it came from.

Once an order has been packed and handed to the carrier it cannot be cancelled or recalled. From that point, our refund policy applies.

We may cancel an order ourselves for any of the reasons in the section on placing an order. Where we do, no payment is taken, or any payment already made is returned in full.

Payment disputes

If you believe you have paid for an order and it has not been recognised, or you have been charged incorrectly, contact us before raising the matter with your bank. Almost every payment question is answered by matching the payment reference to the order, and we can do that quickly. Where a dispute is raised with a bank, we may supply the order record, our correspondence with you and the dispatch and tracking record to resolve it.

Intellectual property

The content of this website — its text, product descriptions, photography, design, logo and the EVOLVD name — belongs to us or to our licensors. You may view and print pages for the purpose of considering or placing an order. You may not otherwise copy, reproduce, republish or use any of it without our written permission.

The website

We aim to keep the site available and accurate, but we do not guarantee that it will be uninterrupted, error-free or free of anything harmful, and we may change, suspend or withdraw any part of it at any time. To the extent the law allows, we are not responsible for any loss arising from the site being unavailable or from your reliance on its content.

Privacy

How we collect, use and store your personal information is set out in our privacy policy, which forms part of these terms.

Limitation of liability and the Australian Consumer Law

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy you have under that law or any other law that cannot be excluded by agreement.

To the extent the law allows, our liability for a breach of a guarantee that can be limited is limited, at our option, to replacing the goods or supplying equivalent goods, or to paying the cost of doing so.

To the extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of data, profit, revenue or opportunity, arising from the use of the website or of any product, and in particular for any loss arising from a product being used other than for laboratory research, or being stored, handled or altered after delivery.

To be settled — this clause is drafted so the client’s lawyer has something to mark up rather than a blank. It must be reviewed before launch — the interaction with the Australian Consumer Law and with the research-use framing is not something to publish on a developer’s wording.

Governing law

These terms are governed by the laws of Australia. Any dispute is subject to the non-exclusive jurisdiction of the courts of the state or territory named below.

To be settled — which Australian state or territory law governs these terms, and where disputes are heard. This depends on where the business is registered, which is still an open question.
